PURCHASE AGREEMENT TERMS AND CONDITIONS

GENERAL: Acceptance of the goods shipped is expressly made conditional on consent of the terms and conditions herein stated. These terms supersede any other document, including terms of a customer's purchase order, unless such document is signed by an officer of Invision Technologies Corp, (hereinafter) referred to as Invision.

TERMS : Unless specifically stated otherwise, Customer agrees to pay Invision, within ten (10) days from date of invoice. Customer also agrees to pay to Invision as interest and late charges, an amount equal to 2% per month or the maximum allowed by law (whichever is less) for invoices that are past due. Failure by Invision to assess the charge on one occasion in no way affects Invision's right to do so on another occasion. In the event of default by customer, Invision shall have the right to declare all invoice amounts, prior or subsequent, due and payable. Customer agrees to pay all collection cost, reasonable attorney fees, court costs, and other expenses incurred by Invision in collecting past due monies. Customer agrees that in collecting past due monies, Invision my commence suit in any Court of appropriate jurisdiction in Kitsap County, Washington and that customer will, and hereby does, submit and consent to the jurisdiction of such Courts.

SHIPPING : All products are shipped F.O.B. Origin (Shipping Point). Invision shall choose what it considers the most appropriate means of shipment unless the customer specifically requests otherwise. Invision shall not be liable for any damages resulting from failure or delay in shipping goods. Customer shall bear the risk of loss or damage to any and all goods. Certain minimum charges apply for orders that require special handling.

CLAIMS : All claims for loss or damage must be made by the customer, to the carrier. Claims for any items missing from a shipment must be made to Invision within three (3) days from receipt of the shipment.

TAXES: Unless noted otherwise, prices are exclusive of federal, state and local sales, use, or similar taxes. Such taxes, if billed by Invision, will appear as separate items on the invoice.

WARRANTY : All products are sold solely with the manufacturer's warranty. Invision will, when requested to do so, assist customer in getting defective units repaired. Should Invision agree to replace a unit, this in no way obligates Invision to do so on other occasions. Invision hereby SPECIFICALLY EXCLUDES all warranties express and implied, other than those provided by the manufacturer, and of title.

LIMITATION OF LIABILITY : Invision and customer agree that Invision's total liability for any damages to customer is limited to the actual cost of the product. Invision and customer agree that Invision will not be liable for customer's consequential or incidental damages.

RETURNS : Invision shall have no obligation to authorize any return. All return requests must be made within 14 calendar days of invoice date. Product may not be returned without a valid Return Authorization (RA) number. RA numbers expire 14 Calendar days after issuance. All returns are subject to a minimum restocking charge of 15% or $25 (whichever is greater). Products returned for credit or replacement must be in new condition, in original cartons, with all packing materials, manuals, cables, etc., included; otherwise, an additional restocking charge may be assessed or the return may be rejected. In addition, all returned products must be insured by Customer for the full value.

SPECIAL ORDER : A “Special Order” is a product that Invision does not normally keep in stock. These items are ordered specifically for a particular customer. Such items come with manufacturer's warranty. Invision will not accept the return of these items and will not offer a credit or refund.

APPLICABLE LAW, JURISDICTION AND VENUE: Buyer acknowledges that this purchase contract was entered into in the State of Washington, County of Kitsap, and that the parties have agreed to the terms of this contract with the understanding any action or proceeding regarding this contract or the products sold hereunder may be maintained in the state or federal courts in or near Poulsbo, Kitsap County, WA. and buyer hereby submits to jurisdiction and venue in or near Poulsbo, Kitsap County , WA , waiving any claim of improper jurisdiction or venue or forum non-convenience and agreeing to accept service at buyer's place of business or residence in any such action. This agreement shall be interpreted, construed, and enforced in accordance with the laws of the State of Washington , applied without giving effect to conflict-of-laws principles, except that UCC Article 2A shall apply whether or not adopted by such state.

This is a legal document and should be read carefully. By signing below you agree to all of the terms and conditions stated above and agree to the purchase and shipment of merchandise listed on attached invoice
